13. Dispute Resolution and Arbitration

13.1 Mandatory Arbitration

EXCEPT AS OTHERWISE PROVIDED HEREIN, YOU AND IMOS PIZZA AGREE THAT ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.

The arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") Commercial Arbitration Rules, as amended from time to time, and in accordance with the Federal Arbitration Act (9 U.S.C. § 1 et seq.). The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.2 Class Action Waiver

YOU AND IMOS PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Imos Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims for such injunctive or equitable relief are not subject to mandatory arbitration.

13.4 Informal Dispute Resolution

We will attempt to resolve the Dispute informally within thirty (30) days of receipt of your notice. If the Dispute is not resolved within this period, either party may proceed with formal arbitration.
